These Terms and Conditions (“Terms”) govern your use of the Carrier IQ service, including any content, functionality, and services offered on or through carrieriq.io (the “Website”), by Carrier IQ (“we”, “us”, or “our”). Carrier IQ provides commercial motor carrier leads (“Services”) to registered users. These Services include, but are not limited to, providing information about potential commercial motor carrier opportunities.

2. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services in any way that violates any applicable federal, state, local, or international law or regulation.

You commit to keeping your account information and credentials confidential and secure. You also agree not to create, distribute, or share account credentials with anyone. Should other individuals at your company require access to the Solution, you are to contact Carrier to obtain additional user accounts, which will be supplied as deemed reasonable. Moreover, you agree to prevent access to your account by anyone outside of your company, including those at related companies, affiliates, or our competitors. Outsourcing service individuals working for you are considered third parties, not employees, by us. Access to your account or use of the Solution or Services by anyone we classify as a third party is prohibited without our explicit written consent. You are required to immediately inform us of any actual or suspected unauthorized account use. We reserve the right to impose a $5,000 fine for each incident of unauthorized third-party access to your account without our consent.

3. Account Registration

To access certain features of the Services, you may be required to create an account. You must provide accurate and complete information and keep your account information updated.

4. Fees and Payment

Fees for the Services will be as set forth on the Website. Payment terms shall be specified at the time of order and must be complied with by you.

5. Intellectual Property Rights

The Services and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Carrier IQ, its licensors, or other providers of such material.

You agree to indemnify and hold Carrier IQ and its affiliates, licensors, and service providers harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the Website or any of the Services offered on the Website.

Carrier IQ, its affiliates, licensors, service providers, employees, agents, officers, or directors shall not be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, any websites linked to it, any content on the Website or such other websites.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

These Terms shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
